1. Introduction and Acceptance

Welcome to Konnectd. Konnectd ("we," "us," or "our") is a product of Quantum Acquisitions LLC, a Florida limited liability company, and provides this website and services, including all related tools, applications, and content, conditioned on your acceptance of these Terms of Service ("Terms") and our Privacy Policy. By accessing or using our website (the "Site") and services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services. "Konnectd" and "LO Ninja" are brands operated by Quantum Acquisitions LLC.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By agreeing to these Terms, you confirm you meet these requirements and that you are using the Services for business purposes.

3. The Platform and Third-Party Services

The Services are delivered using third-party platforms and infrastructure, which may include GoHighLevel / LeadConnector, Twilio, Mailgun, ARIVE, payment processors, and AI providers (such as OpenAI and Anthropic). Your use of the Services may also be subject to those providers' terms. We are not responsible for, and disclaim liability for, outages, changes, discontinuations, or failures of any third-party service or integration (including ARIVE). We may add, change, or remove features and integrations at any time.

4. Changes to Terms or Services

We may update or modify these Terms at any time. Updates are effective upon posting to the Site. Continued use of the Services after any update constitutes acceptance of the revised Terms.

5. Privacy

Our Privacy Policy explains how we collect, use, and disclose information. By using the Services, you agree to the Privacy Policy.

6. Use of Services and Restrictions

The Services are for your business use. You may not: (a) reproduce, resell, sublicense, or exploit any part of the Services without our prior written consent; (b) use the Services for any unlawful purpose or to violate the rights of others; (c) reverse engineer, scrape, or attempt to gain unauthorized access to the Services; or (d) use the Services to send malware, spam, or unsolicited communications.

7. Messaging, Calling, and Consent (SMS, Voice, Email)

You are the sole sender and initiator of all SMS, MMS, email, voice, and automated messages sent through your account. You — not Konnectd — choose who to contact, what to send, and when. Konnectd provides the tools; it does not select recipients, generate or approve your content, or determine timing. All compliance responsibility rests with you. Specifically, you agree that:

  • You have obtained and will maintain valid, documented express opt-in consent from every contact before messaging or calling them, including prior express written consent where required.
  • Voice AI and automated calls may use automated, prerecorded, or AI-generated messages. You are responsible for compliance with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), state laws (including but not limited to the Florida FTSA, Oklahoma OSTA, and Washington law), and any future amendments.
  • You will not upload purchased, rented, scraped, or third-party lead lists, or contacts for which you lack direct opt-in consent.
  • You will not use the Services for cold outreach, trigger-lead messaging, or telemarketing without proper consent, or misrepresent your identity or caller ID.
  • Konnectd provides these features as tools and assumes no liability for your use or compliance. Violations may result in immediate suspension or termination.

8. A2P 10DLC and Carrier Compliance

All SMS sent through Konnectd must comply with A2P 10DLC requirements. Messages may only be sent to recipients who have explicitly opted in. Opt-out rates are monitored; high opt-out rates, spam complaints, or carrier blocks may lead to suspension. You are responsible for A2P 10DLC registration and for any carrier-imposed fees, which are passed through without markup. You agree to cooperate with traceback efforts (e.g., STI-PA, the US Telecom Traceback Group) for toll-free and other numbers.

9. Opt-Out Management

Recipients can unsubscribe from SMS by replying "STOP" or "UNSUBSCRIBE." Opt-outs are automated. Re-enrollment requires a new opt-in. You may customize opt-out and sender identification settings in your account.

10. Artificial Intelligence Features

The Services include AI-powered features (including "Kai," Ask AI, Conversation AI, Voice AI, and content generation). AI output may be inaccurate, incomplete, or unsuitable and is provided "as is." You are responsible for reviewing and approving any AI-generated content before it is sent or relied upon. Konnectd does not provide legal, financial, tax, mortgage, or other professional advice, and AI output does not constitute such advice. You are responsible for ensuring AI-assisted communications comply with all applicable laws.

11. Fees, Subscriptions, and Usage Charges

Plan fees, per-seat fees, one-time setup fees, included credits, and usage-based (overage) rates are set out in our Subscription Agreement, which is incorporated into these Terms. You authorize us and our payment processor to charge your payment method for all applicable fees, including automatic wallet recharges and usage overages. Fees exclude taxes, which are your responsibility. We may change fees prospectively with notice. Chargebacks or reversals made without first contacting us may result in suspension.

12. Intellectual Property

All content, software, workflows, automations, templates, and intellectual property related to Konnectd remain the exclusive property of Quantum Acquisitions LLC or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Services for your business during your subscription. You retain ownership of your own data and content ("Customer Data"). You grant us a license to use Customer Data solely to provide and improve the Services. Unauthorized reproduction, distribution, or misuse of our intellectual property is prohibited and may result in termination and legal action.

13. Feedback

If you provide suggestions or feedback, you grant us a perpetual, royalty-free license to use it without obligation to you.

14. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, secure, or error-free operation, or any specific results. Konnectd does not provide legal advice and does not guarantee compliance with any law, regulation, or carrier rule. Your use of the Services is at your own risk.

15. Limitation of Liability

To the fullest extent permitted by law, Quantum Acquisitions LLC and its affiliates, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill, arising from or related to the Services, including failures of third-party services or integrations (such as ARIVE, Twilio, Mailgun, or AI providers). Our total aggregate liability for any claim will not exceed the amounts you paid to us for the Services in the three (3) months preceding the claim.

16. Indemnification

You agree to indemnify and hold harmless Quantum Acquisitions LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your communications, your Customer Data, or your breach of these Terms or applicable law.

17. Account Responsibility

You are responsible for your account, all activity under it, keeping your credentials secure, and ensuring all users on your account comply with these Terms, A2P 10DLC rules, carrier rules, and applicable law. You confirm you have authority to accept these Terms on behalf of your organization.

18. Suspension and Termination

We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms, non-payment, or conduct that risks carrier penalties or legal exposure. Upon termination, your license to use the Services ends. You may export your Customer Data at any time during your subscription.

19. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

20. Dispute Resolution; Arbitration; Class Waiver

Any dispute relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, seated in the State of Florida, except that either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property misuse. You and Konnectd waive any right to a jury trial and to participate in a class, collective, or representative action. Disputes must be brought within one (1) year of accrual.

21. Force Majeure

Konnectd is not liable for delays or failures caused by events beyond its reasonable control, including acts of God, war, strikes, natural disasters, pandemics, governmental action, or failures of third-party systems (such as ARIVE or other connected applications).

22. Refund Policy

Except as expressly stated in a separate written agreement or required by law, all fees are non-refundable, including for unused services or partial periods.

23. General

These Terms, together with the Privacy Policy and Subscription Agreement, are the entire agreement between you and Quantum Acquisitions LLC. If any provision is unenforceable, the rest remains in effect. We may assign these Terms; you may not without our consent. Our failure to enforce a provision is not a waiver. Notices to you may be sent to the email on your account.

Welcome to Konnectd. Konnectd (“we,” “us,” or “our”), a trading name of Digital Marketing Services LLC, provides this website and services, including all related tools and content, to you conditioned upon your acceptance of these Terms of Service (“Terms”) and our Privacy Policy. By accessing or using our website (the “Site”) and services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

2. Eligibility

You must be at least 18 years old to use our Services. By agreeing to these Terms, you confirm that you are at least 18 years old.

3. Changes to Terms or Services

We reserve the right to update or modify these Terms at any time. Any updates will be posted on our Site or communicated through other means. Continued use of the Services after any modification constitutes your acceptance of the updated Terms.

4. Privacy Policy

Our Privacy Policy explains how we collect, use, and disclose your personal information. By using our Services, you agree to the practices described in the Privacy Policy.

5. Use of Services and Restrictions

Our Services are intended for your business use. You may not:

  • Reproduce, sell, or exploit any part of the Services without our prior written consent.
  • Use the Services for unlawful purposes or to violate the rights of others.

By using the Voice AI Calling feature, you agree to the following:

  • You have obtained all necessary prior express consent from each contact before initiating any outbound Voice AI or automated calls.
  • You understand and acknowledge that Voice AI calls may involve automated, prerecorded, or AI-generated messages.
  • You are solely responsible for complying with all applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA) and state-specific privacy or telemarketing laws.
  • Konnectd provides the Voice AI functionality as a tool, and assumes no liability for your usage or compliance.
  • Failure to adhere to these terms may result in suspension or termination of access to Voice AI features.

5.5 Prohibited Conduct

You agree not to:

  • Send SMS, MMS, email, or voice messages without documented opt-in consent.
  • Upload purchased lists, third-party lead lists, or scraped contact data.
  • Use the Services for cold outreach, trigger-lead messaging, or telemarketing without proper consent.
  • Misrepresent your identity or use misleading caller ID information.
  • Circumvent carrier rules, A2P 10DLC registration requirements, or opt-out systems.
  • Engage in messaging practices that result in high opt-out rates, spam complaints, or carrier blocks.

    Violation of these rules may result in suspension, carrier penalties, or account termination.


6. A2P 10DLC Compliance (SMS Services)

All users sending SMS through Konnectd must comply with A2P 10DLC regulations:

  • Messages must be sent only to recipients who have explicitly opted in.
  • Cold messaging or sending without prior consent is prohibited.
  • Opt-out rates are monitored, and high rates may lead to suspension.
  • Users must maintain professionalism to minimize opt-out incidents.

    6.5. Consent and Compliance Responsibility

You are responsible for obtaining, maintaining, and storing valid express written consent from every contact you message. This includes complying with all federal and state telemarketing, privacy, and record-keeping laws, including but not limited to the TCPA, TSR, Florida FTSA, Oklahoma OSTA, Washington regulations, and any future amendments. You agree not to upload purchased lists, scraped numbers, or contact information for which you do not have direct opt-in consent.


7. Opt-Out Management

Recipients can automatically unsubscribe from SMS communications by replying with “stop” or “unsubscribe.” Opt-outs are fully automated, and users can customize the opt-out message in Settings > Business Info > General. Re-enrollment in messages requires explicit opt-in from the recipient.

8. Carrier Compliance and Fees

Users are responsible for any carrier-imposed fees, which may include a monthly charge of up to $12 (subject to change). These fees reflect costs imposed by carriers and are passed through to the user without markup by Konnectd. Other fees apply based on message length and content, such as $0.01 per SMS segment.

9. Sender Identification

To ensure transparency, your sender name will automatically be added to the first SMS in any bulk message. Users can customize their sender name in Settings > Business Info > General.

10. Messaging Content and Segments

Each SMS segment contains up to 160 characters. Adding emojis or images reduces this limit to 70 characters per segment, and additional segments may increase messaging costs. To manage costs, users can use the Twilio segment calculator and set automatic wallet refills when balances fall below a threshold under Settings > Company Billing > Wallet & Transactions.

11. Toll-Free Number Usage

By using a toll-free number, you agree to cooperate with traceback efforts initiated by STI-PA and the US Telecom Traceback Group to ensure compliance and maintain the integrity of SMS communication.

12. Pricing, Subscriptions, and Service Fees

As a Konnectd user, you agree to the fees related to premium services such as SMS, calls, and email services, per our Subscription Agreement. Overages and other charges will be applied based on your usage and will follow the rates outlined in the Subscription Agreement.

13. Intellectual Property

All content, workflows, and intellectual property related to Konnectd remain our exclusive property or that of our licensors. You are granted a limited, non-transferable license to use the Services solely for your business needs. Any unauthorized reproduction, distribution, or misuse of our intellectual property is prohibited. All workflows, automations, and intellectual property provided by Konnectd are protected and remain the exclusive property of Konnectd. Users are prohibited from reproducing, distributing, or misusing these materials. Any violations will result in account termination and potential legal action.

14. Limitation of Liability

To the fullest extent permitted by law, Konnectd, its affiliates, officers, and employees are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill arising from the use of the Services. This includes, but is not limited to, damages caused by third-party service failures or issues related to integrations with connected applications such as ARIVE. Users acknowledge and accept full responsibility for ensuring the proper functionality of third-party integrations, and Konnectd disclaims liability for any failures, disruptions, or issues stemming from such integrations.

15. Disclaimer of Warranties

The Services are provided “as is” without warranties of any kind. We do not guarantee uninterrupted service or error-free performance. Your use of the Services is at your own risk. Konnectd does not provide legal advice and does not guarantee compliance with any federal, state, or carrier regulations. You are solely responsible for understanding and complying with all applicable laws related to your messaging, calling, and data practices.

16. Data Protection and Usage Integrity

You are responsible for ensuring the legality and appropriateness of the messages you send. Konnectd is not liable for indirect damages resulting from the misuse of Services. Users must protect any transmitted data and ensure that all communications comply with relevant laws and regulations. Users are responsible for staying informed and compliant with any regulatory or legal changes relevant to their industry, including those affecting data privacy, marketing automation, and third-party integrations.

17. Account Responsibility

By signing up for and using our Services, you confirm that you have the authority to accept these Terms on behalf of all users associated with your account. You are responsible for ensuring that all users comply with A2P 10DLC regulations, carrier rules, and other applicable laws.


17.5 Messaging Responsibility and Sender Status

Konnectd provides messaging, automation, and communication tools, but does not send or initiate messages on your behalf. You are the sole sender and initiator of all SMS, MMS, email, voice, or automated messages sent through your account. You, not Konnectd, choose who to contact, what to send, and when to send it. Konnectd does not select recipients, generate message content, determine timing, or monitor, review, or approve your communications. All compliance responsibilities, including federal, state, and carrier requirements, rest entirely with you.

18. Indemnification

You agree to indemnify and hold Konnectd and its officers, directors, employees, and agents harmless from any claims, damages, liabilities, costs, and expenses, including legal fees, arising out of your use of the Services or breach of these Terms.

19. Termination

We may terminate or suspend your access to the Services at any time, for any reason, without notice, including if you violate these Terms or our policies.

20. Governing Law

These Terms are governed by the laws of the United States of America, without regard to conflict of law principles.

21. Dispute Resolution

Any disputes related to these Terms or the use of our Services will be resolved through binding arbitration in the United States of America, except for certain limited exceptions where court proceedings are permitted.

22. Force Majeure

Konnectd is not liable for any delays or failures in performance resulting from events beyond its control, including but not limited to acts of God, war, strikes, natural disasters, pandemics, technical failures in third-party systems (such as ARIVE or other connected applications), or governmental actions. These events, whether foreseeable or unforeseen, do not constitute a breach of these terms, and Konnectd is not responsible for service interruptions or delays caused by such circumstances.

23. Refund Policy

All fees paid to Konnectd are non-refundable unless explicitly stated in a separate service agreement. No refunds are issued for cancellation of unused services or for periods where the Services were not used.

24. Changes to the Terms

We may update these Terms at any time, with changes taking effect immediately upon posting to our Site. Continued use of the Services after such updates constitutes your acceptance of the revised Terms.
